Amanda Hayes helps health care and life sciences clients close mergers and acquisitions and build strategic collaborations. Clients rely on her for responsive, creative advice grounded in a deep understanding of their heavily regulated industries. She leads Parker Poe's Health Care Practice Group, which Chambers USA has ranked among the leading teams in the Carolinas based on in-depth interviews with top legal decision-makers.

Amanda regularly serves as lead counsel on mergers, acquisitions, and divestitures, guiding clients through deal structuring, due diligence, drafting, negotiation, and closing. She has advised on dozens of transactions involving clinical laboratories, physician practices, behavioral health agencies, and home health and other post-acute and long-term care providers. Her experience with mergers and acquisitions extends to other industries as well, such as manufacturing, retail, and construction.

Amanda has also helped life sciences and health care clients create a variety of unique, strategic collaborations. For example, she has advised on high-profile and time-sensitive alliances to launch new laboratory tests, bring complementary care to pharmacies across the country, and leverage clinical decision support tools, artificial intelligence (AI), and data to help physicians better serve their patients. 

Across her practice, Amanda counsels clients on structuring business relationships to comply with regulatory requirements. This counseling includes organizational structuring, corporate governance, buy-sell arrangements, compensation plans, and material contract review and negotiation.

  • Counseled a leading global life sciences company in dozens of acquisitions.
  • Counseled on a strategic alliance to create predictive models using vast amounts of patient testing data. 
  • Represented a leading global life sciences company in a deal with one of the largest health care retailers in the U.S.
  • Advised health systems, specialty physicians, and other providers on arrangements involving clinical decision support tools.
  • Represented primary care and specialty physician practices in connection with sales to, and strategic partnerships with, health systems and private equity.
  • Counseled home health and home care agencies in acquisitions and dispositions.
  • Represented a contract research organization in sale to an international CRO.
  • Counseled physician practices in connection with practice acquisitions and corporate reorganizations.
  • Advised on multi-provider collaborations to create patient registries for cancer and COVID-19.
  • Counseled providers on programs designed to reduce gaps in care and increase diversity and equity in clinical trial participation.

    • Asset and stock acquisitions and sales
    • Preparation for sales of businesses
    • Joint ventures and strategic alliances
    • The federal Anti-Kickback Statute and state law prohibitions on payment of remuneration in return for referrals of health care business
    • The federal Stark Law, including structuring relationships to meet Stark Law exceptions for "in-office ancillary services," leasing arrangements, management and personal services arrangements, and others
    • Physician compensation models for compliance with Stark and other applicable laws
    • Compliance plans
    • Privacy, security, and electronic exchange of health information in compliance with the federal HIPAA and HITECH statutes
